The Investment Case
The SHOP thesis is not about owning an AI chatbot. It depends on whether an AI purchase still needs Shopify to finish the order.
Why this could work
Why the market may be right
Infrastructure that survives a new interface
Every agent needs current product, inventory, price, discount, payment, tax, and order data. Shopify already joins these pieces in one system.
AI can take the customer interface
If discovery and comparison happen inside ChatGPT or Gemini, Shopify could become an invisible processor with less control over demand.
Growth already converts into cash
Q2 GMV rose 31.6%, revenue increased 33.7%, and company-defined FCF grew 55%.
The checkout gateway is not exclusive
UCP is designed to work with any payment provider. Stripe and OpenAI also offer a separate route through ACP.
Payments deepen the moat
Shopify Payments processed 68% of Q2 GMV, allowing Shopify to earn from the transaction rather than only the storefront subscription.
The price already leans bullish
The Base composite is about $107. The current price gives substantial credit to successful agentic commerce.
How the Business Works
Shopify is closer to an operating system for commerce than a website builder.
Subscription Solutions charges merchants to build and manage stores. Merchant Solutions earns from payments, currency conversion, lending, shipping, and other transaction services. Merchant Solutions represented 77.6% of Q2 2026 revenue. The economics therefore depend more on GMV and Shopify-processed payments than on store count alone.
AI agents change discovery and comparison. A request such as “buy running shoes under $150 that arrive tomorrow” requires live product, inventory, delivery, and return data. Shopify Catalog and UCP can make that information machine-readable. Checkout, Shop Pay, and Shopify Payments can then complete the transaction while the merchant retains the order and customer relationship. If this works, Shopify can monetize an order even when the customer never visits a traditional storefront.
AI channels do not yet create a separate fee. Shopify has said that standard payment processing applies without an additional transaction charge. The current thesis therefore does not add a new AI revenue line. It assumes that new buying paths can support GMV and Payments penetration. If AI platforms choose their own checkout or alternatives such as Stripe, Shopify may process only part of the order flow.
A shopper gives an AI a purchase request
ChatGPT, Gemini, or Copilot interprets budget, preference, delivery terms, and intent.
Catalog and UCP connect products
Price, inventory, options, delivery, and returns reach the agent in a structured form.
Checkout and Payments complete the order
Identity, discounts, taxes, payment, and fraud checks run in one flow.
Order data returns to the merchant
The merchant manages the order, customer relationship, and support while Shopify earns transaction revenue.
OpenAI and Google can own intent. Shopify owns merchant, product, and order infrastructure. Stripe can connect payment. The likely winner does not need to monopolize every step. It needs to complete transactions reliably across the most agents and merchants.
Who owns the transaction in AI shopping?
Shopify has a credible opportunity, but it does not control the entire purchase journey. A strong rival exists at each step.
OpenAI and Google may learn what the shopper wants first. If they control ranking and recommendations, merchants can become more dependent on the rules of the AI platform than on their own storefronts.
Shopify has millions of merchants and live order systems. It can provide more accurate inventory, price, and delivery data than scraped pages. Letting merchants retain the order and customer data is also an important distinction.
Stripe and other processors can complete AI orders without Shopify. The openness of UCP helps adoption but limits any claim that Shopify Payments will be the exclusive payment layer.

Shopify does not need to own every step. Becoming shared product and order infrastructure across several AI agents can be enough, especially if those orders flow through Shopify Payments. The missing proof is actual AI-channel GMV and profit.
The KPI That Matters
The first numbers to watch are not the number of AI features. They are GMV growth and Shopify Payments penetration.

More volume × higher payment penetration → more payment, FX, and financial revenue → a stronger merchant ecosystem
Q2 GMV reached $115.6B and grew 31.6%. Shopify Payments GPV increased 38% to $78.1B, lifting penetration from 64% to 68%. When transaction volume grows and Shopify processes more of it, the economics can scale faster than subscription revenue. Real AI-commerce value should eventually appear in these metrics or in disclosed AI-attributed orders.

GMV grows above 25% and Payments penetration is at least 68%.
GMV grows 18-25% or Payments penetration is 65-68%.
GMV grows below 18% while Payments penetration falls below 65%.
Financial Profile
Shopify combines high growth with substantial cash flow, although the shift toward payments can lower the reported gross margin.
Q2 revenue was $3.583B, gross profit was $1.708B, and company-defined FCF was $654M. Merchant Solutions generated 77.6% of revenue at an estimated gross margin near 38%, compared with about 80% for Subscription Solutions. Faster payments growth can lower consolidated gross margin while increasing gross-profit dollars and cash flow. Gross-profit growth and FCF margin therefore matter more than gross margin alone.

Quality of Earnings & Capital Allocation
Cash generation is strong, but equity compensation and credit risk reduce the amount that belongs to shareholders.
Company-defined 2025 FCF was about $1.96B and stock compensation was $449M. Deducting it gives a conservative owner-FCF estimate of about $1.52B. H1 2026 stock compensation was $260M. Shopify repurchased roughly $2B of shares in the first half, reducing total shares. That offsets dilution today, although buying at a high valuation is a separate capital-allocation question. Q2 transaction and loan losses rose 76% to $141M, faster than revenue.
Company FCF and shareholder cash flow
Not every asset on the balance sheet is excess cash
Cash and marketable securities totaled about $4.95B. Equity and equity-method investments carried a value near $5.41B, but the model gives them a 50% haircut because market values can move sharply. Loans and merchant cash advances of $2.18B are treated as operating assets required by the financial-services business. The $7.5B net non-operating asset estimate reflects these distinctions.
The Model
The Base model does not create a separate AI revenue line. AI channels support the existing paths for GMV, payment penetration, and cash conversion.

Recent results and company guidance set the starting point. Full-year 2026 and later figures are Lazy Valuation estimates.

Shopify has not disclosed AI-channel GMV, conversion, or separate revenue. Until those figures arrive, agentic commerce remains an option within the Base model rather than a standalone revenue line.
GMV
Growth slows after a very strong 2026 but remains above 20% in 2027.
Payments
Higher penetration allows GPV and Merchant Solutions to grow faster than GMV.
Cash conversion
Operating expenses grow more slowly than gross profit, lifting company FCF margin above 20%.
Equity compensation
The model deducts SBC from company FCF and holds shares roughly stable to avoid counting dilution twice.
2027E cash-flow bridge
The Base model deducts $0.60B of stock compensation from $4.10B of company-defined FCF to produce $3.50B of owner FCF. Share count stays roughly flat so the model does not charge both SBC and dilution twice.

The reverse DCF asks how fast $3.5B of 2027E owner FCF must grow to support the current enterprise value.

Even raising 2027E owner FCF to $4.0B leaves an implied growth rate near 42%. The current price requires both major margin expansion and a long premium-growth period.
Reverse-DCF disclaimer
The market-implied rate is a Lazy Valuation model output, not an external forecast. It is sensitive to discount and terminal-growth assumptions and should be used as a test of expectations, not a precise prediction.
The Base model grows owner FCF from $3.5B in 2027 to $8.0B in 2031, a 23.0% four-year CAGR. The same discount assumptions require about 47.4% to explain the current price, a gap of 24.5 percentage points.
Valuation
The report combines owner-FCF DCF with a 2031 owner-FCF exit multiple. The second method is more optimistic because it assumes Shopify retains a premium beyond the forecast.
Owner-FCF DCF gives $47.0 in Bear, $89.9 in Base, and $141.2 in Bull. Applying 25x, 30x, and 35x to 2031 owner FCF and discounting back gives $61.4, $124.0, and $191.5. A 50/50 blend produces a Base value near $107. At $170.85, the stock is above the Base range and already inside Bull.

A strong quarter needs more than 30% revenue growth. Payments penetration should rise, gross profit should grow in the mid-to-high twenties, and shareholder cash flow should expand after losses and equity compensation.
Bottom Line
AI agents are more likely to make Shopify less visible but more important than to make it obsolete.
Shopify already connects products, merchants, Checkout, and Payments. Even if ChatGPT, Gemini, and Copilot own the first screen, real orders still need this infrastructure. UCP is open, however, and Stripe offers another route. More importantly, Shopify has not yet disclosed the GMV or profit produced by AI channels.
The new-entry conclusion is Watch. The $170.85 price is well above the Base composite near $107. Expected returns improve below $109, and a clearer margin of safety appears near $86. Buying before then requires evidence that AI orders and cash flow are beating the Base model.
Even the best commerce gateway can become a poor investment at the wrong price.
